Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 13, 2019, John Vaught, Senior Vice President, Chief Information Officer of National Vision Holdings, Inc. (together with its subsidiaries, the “Company”), notified the Company of his intent to retire from his Chief Information Officer position after 14 years of service to the Company. Mr. Vaught’s retirement will be effective on a date to be mutually agreed, but no earlier than March 2020. The Company is conducting a comprehensive search for Mr. Vaught’s successor and Mr. Vaught has agreed to assist in that process and to help ensure an orderly transition.
