Item 2.02 Results of Operations and Financial Condition.
On August 11, 2022, National Vision Holdings, Inc. (“National Vision” or the “Company”) issued a press release announcing financial results for the quarter ended July 2, 2022. A copy of the release is furnished herewith as Exhibit 99.1 and incorporated by reference herein.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Organizational Update
On August 11, 2022, the Company announced leadership changes, pursuant to which Patrick Moore, the Company’s Chief Financial Officer, has been appointed to the newly-created role of Chief Operating Officer, effective as of August 11, 2022 (the “Effective Date”). In this role, Mr. Moore, age 58, will take on leadership of the Retail Operations, Clinical Services, Real Estate, Labs, Manufacturing and Distribution and Strategy functions. He will continue to serve as the Company’s Chief Financial Officer until January 1, 2023, when, in accordance with a planned succession, Melissa Rasmussen, Senior Vice President, Finance and Accounting, will succeed Mr. Moore as Chief Financial Officer of the Company.
Mr. Moore has served as the Chief Financial Officer since 2014. Ms. Rasmussen, age 45, currently serves as Senior Vice President, Finance and Accounting, and served as Senior Vice President, Chief Accounting Officer prior to that from July 2019 until August 2022, leading the Accounting, Tax, SEC Reporting and Internal Audit functions. Prior to joining National Vision, Ms. Rasmussen was the Vice President and Global Corporate Controller of Lexmark International, Inc., where she led the worldwide accounting and SEC reporting functions.
In addition, on August 5, 2022, Roger Francis, the Company’s Chief Stores Officer, notified the Company that he will be resigning from the Company effective August 31, 2022 to take an international leadership position in a company outside of the optical industry.
Compensation Matters
Following the Effective Date, Mr. Moore as Chief Operating and Financial Officer will receive a base salary of $600,000, and he will be eligible to receive an annual cash incentive award with a target opportunity of 75% of his base salary. There are no family relationships between Mr. Moore and any director or executive officer of the Company and he has no direct or indirect material interest in any transaction required to be disclosed pursuant to Item 404(a) of Regulation S-K.
Upon assuming the Chief Financial Officer role in January 2023, Ms. Rasmussen will receive a base salary of $400,000, and she will be eligible to receive an annual cash incentive award with a target opportunity of 60% of her base salary. She will also be eligible to receive an annual long-term incentive award valued when the Company next grants such awards, as determined by the Compensation Committee of the Board of Directors of the Company. There are no family relationships between Ms. Rasmussen and any director or executive officer of the Company and she has no direct or indirect material interest in any transaction required to be disclosed pursuant to Item 404(a) of Regulation S-K.

Duluth, Ga. -- August 11, 2022 -- National Vision Holdings, Inc. (NASDAQ: EYE) (“National Vision” or the “Company”) today reported its financial results for the second quarter ended July 2, 2022.
“In the second quarter, we continued to progress our key growth initiatives despite the challenges of the dynamic consumer environment,” stated chief executive officer Reade Fahs. “We opened 22 stores this quarter and remain excited about our potential growth opportunities in U.S. value optical. Our accelerated rollout of remote medicine is adding incremental exam capacity and remains on track to be operational in up to 300 stores by year-end. In addition, we are pleased to have recently signed a multi-year extension of our current lens purchasing agreement with EssilorLuxottica.”
Mr. Fahs continued, “As it pertains to the remainder of the year, we continue to expect our near-term performance to be affected by macro headwinds facing our lower-income consumer and constraints to exam capacity. We've made significant progress in our cost alignment efforts that should temper the impact to profitability from the lowered revenues in our Fiscal 2022 outlook. Looking ahead, we are confident in our business model and our strategy and believe we remain in a position of strength to deliver sustainable growth.”
Adjusted Comparable Store Sales Growth, Adjusted Operating Income, Adjusted EBITDA, Adjusted Diluted EPS, Adjusted Operating Margin, Adjusted EBITDA Margin, and EBITDA are not measures recognized under generally accepted accounting principles (“GAAP”). Second Quarter 2022 Summary
•Net revenue decreased 7.3% to $509.6 million compared to the second quarter of 2021.
•Net revenue was positively impacted by 0.2% due to the timing of unearned revenue.
•Comparable store sales growth was (11.0)% and Adjusted Comparable Store Sales Growth was (12.4)%.
•The Company opened 22 new stores and ended the quarter with 1,314 stores. Overall, store count grew 5.2% from July 3, 2021 to July 2, 2022.
•Costs applicable to revenue decreased 0.6% to $234.6 million compared to the second quarter of 2021. As a percentage of net revenue, costs applicable to revenue increased 310 basis points to 46.0% compared to the second quarter of 2021. This increase as a percentage of net revenue was primarily driven by deleverage of optometrist-related costs, reduced eyeglass mix and lower eyeglass margin.
•SG&A decreased 2.7% to $227.8 million compared to the second quarter of 2021. As a percentage of net revenue, SG&A increased 210 basis points to 44.7% compared to the second quarter of 2021. This increase as a percentage of net revenue was primarily driven by deleverage of store payroll and occupancy expense, partially offset by lower performance-based incentive compensation, stock-based compensation expense, and lower advertising.
•Net income decreased 74.1% to $9.7 million compared to the second quarter of 2021.
•Diluted EPS decreased 70.9% to $0.12 compared to the second quarter of 2021. Adjusted Diluted EPS decreased 57.0% to $0.21 compared to the second quarter of 2021. The change in margin on unearned revenue benefited Adjusted Diluted EPS by $0.02.
•Adjusted Operating Income decreased 57.6% to $27.8 million compared to the second quarter of 2021. Adjusted Operating Margin decreased 640 basis points to 5.5% compared to the second quarter of 2021. The change in margin on unearned revenue benefited Adjusted Operating Income by $0.8 million.
Six-Month Period Summary
•Net revenue decreased 4.3% to $1.0 billion compared to the same period of 2021.
•Net revenue was positively impacted by 0.2% due to the timing of unearned revenue.
•Comparable store sales growth was (8.0)% and Adjusted Comparable Store Sales Growth was (9.6)%.
•The Company opened 39 new stores, closed three stores, and ended the period with 1,314 stores.
•Costs applicable to revenue increased 2.2% to $470.6 million compared to the same period of 2021. As a percentage of net revenue, costs applicable to revenue increased 290 basis points to 45.4% compared to the same period of 2021. This increase as a percentage of net revenue was primarily driven by the deleverage of optometrist-related costs, reduced eyeglass mix and lower eyeglass margin.
•SG&A decreased 0.3% to $456.4 million compared to the same period of 2021. As a percentage of net revenue, SG&A increased 180 basis points to 44.0% compared to the same period of 2021. This increase as a percentage of net revenue was primarily driven by the deleverage of store payroll and occupancy expense, partially offset by lower performance-based incentive compensation.
•Net income decreased 50.8% to $39.9 million compared to the same period of 2021.
•Diluted EPS decreased 46.9% to $0.47 compared to the same period of 2021. Adjusted Diluted EPS decreased 45.0% to $0.53 compared to the same period of 2021. The net change in margin on unearned revenue benefited Adjusted Diluted EPS by $0.01.
•Adjusted Operating Income decreased 45.2% to $73.1 million compared to the same period of 2021. Adjusted Operating Margin decreased 530 basis points to 7.0% compared to the same period of 2021. The net change in margin on unearned revenue benefited Adjusted Operating Income by $1.6 million.
Balance Sheet and Cash Flow Highlights as of July 2, 2022
•The Company’s cash balance was $254.4 million as of July 2, 2022. The Company had no borrowings under its $300 million first lien revolving credit facility, exclusive of letters of credit of $6.4 million.
•Total debt was $568.8 million as of July 2, 2022, consisting of outstanding first lien term loans, convertible senior notes (“2025 Notes”) and finance lease obligations, net of unamortized discounts.
•Cash flows from operating activities for the first six months of 2022 were $88.0 million compared to $189.8 million for the same period of 2021.
•Capital expenditures for the first six months of 2022 totaled $55.7 million compared to $38.8 million for the same period of 2021.
Share Repurchase Program
•In the second quarter, the Company repurchased 2.6 million shares of its common stock for $73 million under the share repurchase program. Following these repurchases, the Company had $50 million remaining under the current share repurchase authorization. Since the inception of the repurchase program in November 2021, the Company has repurchased 4.2 million shares for a total cost of $150 million.
Recent Developments
•On July 19, 2022, the Company entered into an amendment to the letter agreement dated November 12, 2018 with Essilor of America, Inc. (“Essilor”) to, among other things, extend the term of the Company’s contractual agreement with Essilor for three years from May 31, 2023 to May 31, 2026. Under the agreement, Essilor has the sole and exclusive right to supply certain lenses for eyeglasses to the Company.

The Company’s updated fiscal 2022 outlook reflects the currently expected impacts related to macro-economic factors, including inflation, geopolitical instability and risks of recession, as well as constraints on exam capacity and the ongoing COVID-19 pandemic; however, the ultimate impact of these factors on the Company’s financial outlook remains uncertain with dynamic market conditions and the outlook shown below assumes no material deterioration to the Company’s current business operations as a result of such factors.

Non-GAAP Financial Measures
To supplement the Company’s financial information presented in accordance with GAAP and aid understanding of the Company’s business performance, the Company uses certain non-GAAP financial measures, namely “EBITDA,” “Adjusted Operating Income,” “Adjusted Operating Margin,” “Adjusted EBITDA,” “Adjusted EBITDA Margin,” “Adjusted Diluted EPS,” “Adjusted Comparable Stores Sales Growth,” “Adjusted SG&A,” and “Adjusted SG&A Percent of Net Revenue.” We believe EBITDA, Adjusted Operating Income, Adjusted Operating Margin, Adjusted EBITDA, Adjusted EBITDA Margin, Adjusted Diluted EPS, Adjusted SG&A and Adjusted SG&A Percent of Net Revenue assist investors and analysts in comparing our operating performance across reporting periods on a consistent basis by excluding items that we do not believe are indicative of our core operating performance. Management uses Adjusted Comparable Store Sales Growth as the basis for key operating decisions, such as allocation of advertising to particular markets and implementation of special marketing programs. Accordingly, we believe that Adjusted Comparable Store Sales Growth provides timely and accurate information relating to the operational health and overall performance of each brand. We also believe that, for the same reasons, investors find our calculation of Adjusted Comparable Store Sales Growth to be meaningful.
EBITDA: We define EBITDA as net income, plus interest expense (income), net, income tax provision (benefit) and depreciation and amortization.
Adjusted Operating Income: We define Adjusted Operating Income as net income, plus interest expense (income), net and income tax provision (benefit), further adjusted to exclude stock compensation expense, loss on extinguishment of debt, asset impairment, litigation settlement, secondary offering expenses, management realignment expenses, long-term incentive plan expenses, amortization of acquisition intangibles, and certain other expenses.
Adjusted Operating Margin: We define Adjusted Operating Margin as Adjusted Operating Income as a percentage of net revenue.
Adjusted EBITDA: We define Adjusted EBITDA as net income, plus interest expense (income), net, income tax provision (benefit) and depreciation and amortization, further adjusted to exclude stock compensation expense, loss on extinguishment of debt, asset impairment, litigation settlement, secondary offering expenses, management realignment expenses, long-term incentive plan expenses, and certain other expenses.
Adjusted EBITDA Margin: We define Adjusted EBITDA Margin as Adjusted EBITDA as a percentage of net revenue.
Adjusted Diluted EPS: We define Adjusted Diluted EPS as diluted earnings per share, adjusted for the per share impact of stock compensation expense, loss on extinguishment of debt, asset impairment, litigation settlement, secondary offering expenses, management realignment expenses, long-term incentive plan expenses, amortization of acquisition intangibles, amortization of debt discounts and deferred financing costs of the term loan borrowings, amortization of the conversion feature and deferred financing costs related to the 2025 Notes when not required under U.S. GAAP to be added back for diluted earnings per share, losses (gains) on change in fair value of derivatives, certain other expenses, and tax benefit of stock option exercises, less the tax effect of these adjustments. We adjust for amortization of costs related to the 2025 Notes only when adjustment for these costs is not required in the calculation of diluted earnings per share according to U.S. GAAP.
Adjusted SG&A: We define Adjusted SG&A as SG&A, adjusted to exclude stock compensation expense, litigation settlement, secondary offering expenses, management realignment expenses, long-term incentive plan expense, and certain other expenses.
Adjusted SG&A Percent of Net Revenue: We define Adjusted SG&A Percent of Net Revenue as Adjusted SG&A as a percentage of net revenue.
Adjusted Comparable Store Sales Growth: We measure Adjusted Comparable Store Sales Growth as the increase or decrease in sales recorded by the comparable store base in any reporting period, compared to sales recorded by the comparable store base in the prior reporting period, which we calculate as follows: (i) sales are recorded on a cash basis (i.e. when the order is placed and paid for or submitted to a managed care payor, compared to when the order is delivered), utilizing cash basis point of sale information from stores; (ii) stores are added to the calculation during the 13th full fiscal month following the store’s opening; (iii) closed stores are removed from the calculation for time periods that are not comparable; (iv) sales from partial months of operation are excluded when stores do not open or close on the first day of the month; and (v) when applicable, we adjust for the effect of the 53rd week. Quarterly, year-to-date and annual adjusted comparable store sales are aggregated using only sales from all whole months of operation included in both the current reporting period and the prior reporting period. When a partial month is excluded from the calculation, the corresponding month in the subsequent period is also excluded from the calculation. There may be variations in the way in which some of our competitors and other retailers calculate comparable store sales. As a result, our adjusted comparable store sales may not be comparable to similar data made available by other retailers.
EBITDA, Adjusted Operating Income, Adjusted Operating Margin, Adjusted EBITDA, Adjusted EBITDA Margin, Adjusted Diluted EPS, Adjusted SG&A, Adjusted SG&A Percent of Net Revenue and Adjusted Comparable Store Sales Growth are not recognized terms under U.S. GAAP and should not be considered as an alternative to net income or the ratio of net income to net revenue as a measure of financial performance, SG&A, the ratio of SG&A to net revenue as a measure of financial performance, cash flows provided by operating activities as a measure of liquidity, comparable store sales growth as a measure of operating performance, or any other performance measure derived in accordance with U.S. GAAP. Additionally, these measures are not intended to be a measure of free cash flow available for management’s discretionary use as they do not consider certain cash requirements such as interest payments, tax payments and debt service requirements. The presentations of these measures have limitations as analytical tools and should not be considered in isolation, or as a substitute for analysis of our results as reported under U.S. GAAP. Because not all companies use identical calculations, the presentations of these measures may not be comparable to other similarly titled measures of other companies and can differ significantly from company to company.

Duluth, Ga. (August 11, 2022) — National Vision Holdings, Inc. (NASDAQ: EYE) updated key leadership positions, including announcing a new Chief Operating Officer role and the planned Chief Financial Officer succession process.
Patrick Moore, Chief Financial Officer, has been appointed to the role of Chief Operating Officer and will continue to serve as Chief Financial Officer through the end of 2022. As Chief Operating Officer, Moore will be leading the following functions: Retail Operations, Clinical Services, Real Estate, Labs, Manufacturing and Distribution, and Strategy.
Melissa Rasmussen, Senior Vice President, Accounting and Finance, has been appointed to succeed Moore as the company’s Chief Financial Officer, effective January 1, 2023. Moore will continue in the role of Chief Operating Officer following this transition.

He is capable of seeing the breadth of strengths and opportunities across our whole operations,” said Reade Fahs, Chief Executive Officer. “The COO role positions him to lead our cross-functional success at a very high level. And because of strong succession planning throughout the company, we have a deep bench of leadership talent to draw from to support these changes – I am thrilled that Melissa, a proven leader and talented executive, will be stepping into the CFO role."
Rasmussen draws on more than 20 years of financial leadership experience in diverse sectors, including manufacturing, healthcare, software and retail, and joined National Vision as Senior Vice President, Chief Accounting Officer, in 2019.
The Company announced additional leadership changes in the Finance and Operations functions.
David Mann, Vice President, Investor Relations, has been promoted to Senior Vice President, Investor Relations.
Roger Francis, Chief Stores Officer, will be departing the Company to pursue an international leadership role at a company outside the optical industry, effective August 31, 2022. Heidi
Henneman, Vice President of Store Operations and a twenty-year veteran of the optical industry, has been promoted to Senior Vice President, Head of Stores.
